1. Interpretation and Definitions

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

3. User Accounts

3.1 Account Types

We offer different account types:

Buyer Account: Free account for searching listings and contacting sellers
Seller Account: Subscription-based account for listing properties

3.2 Account Responsibilities

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.

You are responsible for:

Safeguarding the password that you use to access the Service
Any activities or actions under your password
Notifying us immediately upon becoming aware of any breach of security or unauthorized use of your account

4. Subscription Services

4.1 Subscription Tiers

We offer the following subscription tiers for sellers:

Trial: Free trial period for new users
Member: Single listing, maximum 10 photos per listing
Pro: Up to 5 listings, 30 photos per listing
Premium: Unlimited listings, 50 photos per listing

4.2 Billing and Payment

Subscription fees are billed monthly. All payments are processed through our payment provider, Stripe. You agree to pay all fees associated with your chosen subscription plan.

You are responsible for providing current, complete, and accurate purchase and account information for all purchases made through our Service.

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial subscription periods or unused services.

5. Listing Guidelines

5.1 Content Standards

All listings must:

Be accurate and not misleading
Comply with all applicable federal, state, and local laws and regulations
Not contain discriminatory language or violate Fair Housing laws
Include only properties you have the legal right to sell or rent
Not infringe on any third party's intellectual property rights

5.2 Approval Process

All listings are subject to approval before becoming visible on the platform. We reserve the right to reject, remove, or request modifications to any listing that violates these terms.

5.3 Listing Status

Listings may be assigned various statuses including: New, Pending Approval, Approved, or Rejected. Rejected listings may be modified and resubmitted for approval.

6. Prohibited Activities

Users may not:

Use the Service for any illegal purpose or in violation of any laws
Post false, inaccurate, misleading, defamatory, or libelous content
Harass, abuse, or harm another person
Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
Engage in any automated use of the system, such as using scripts to send comments or messages
Interfere with or circumvent the security features of the Service
Copy or adapt the Service's software, including but not limited to Flash, PHP, HTML, JavaScript, or other code
Upload viruses or any other type of malicious code
Collect or track the personal information of others
Spam, phish, pharm, pretext, spider, crawl, or scrape

7. Intellectual Property

The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of TSF Holdings, LLC. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of TSF Holdings, LLC..

8. User Content

8.1 License Grant

By posting Content to the Service, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable license to use, reproduce, adapt, publish, translate and distribute your content in any and all media.

8.2 Content Responsibility

You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights.

You represent and warrant that: (i) the Content is yours or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

9. Links To Other Web Sites

Our Service may contain links to third-party web sites or services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

11. Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

12. "AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice.

Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

13. Governing Law

The laws of the State of Florida, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

14. Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

Any disputes arising out of or relating to these Terms and Conditions that cannot be resolved informally shall be submitted to binding arbitration in the State of Florida.

15. United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

16. Severability and Waiver

16.1 Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

16.2 Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

17. Translation Interpretation

These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.

18. Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.
